Terms of Use for Online Shop

These Terms of Use (hereinafter referred to as the “Terms”) set forth the conditions for using the online shop (hereinafter referred to as the “Service”) provided by OURSE Co., Ltd. (“we,” “us,” or “our”) on this website.
All registered users (hereinafter referred to as “Users”) are required to use the Service in accordance with these Terms.

 

1. Scope of Application

These Terms shall apply to all relationships between Users and us in connection with the use of the Service.

We may establish additional rules, guidelines, or policies related to the Service (hereinafter referred to as “Supplementary Provisions”). Regardless of their title, such Supplementary Provisions shall constitute an integral part of these Terms.

In the event of any inconsistency between these Terms and the Supplementary Provisions, the provisions set forth in the Supplementary Provisions shall prevail unless otherwise specified.

 

2. User Registration

3. User ID and Password Management

You are responsible for maintaining the confidentiality and security of your user ID and password.

You may not transfer, lend, or share your user ID or password with any third party under any circumstances.
We will consider any activity conducted using a combination of user ID and password that matches our records to have been performed by the registered user.

We shall not be liable for any damages arising from the unauthorized use of your user ID or password by a third party, unless such damages result from our willful misconduct or gross negligence.

 

4. Sales Agreement

In the Service, a sales agreement shall be deemed concluded when you place an order and we accept that order by sending a confirmation notice.

Title to the purchased product shall pass to you at the time we hand over the product to the shipping carrier.

We reserve the right to cancel the sales agreement without prior notice if any of the following applies:

You violate these Terms
Delivery cannot be completed due to an unknown address or prolonged absence
We determine that the relationship of trust between you and us has been impaired

Payment methods, shipping methods, order cancellations, returns, and other matters related to the Service shall be governed by our separately established policies.

 

5. Intellectual Property Rights

All copyrights and other intellectual property rights in product images and other content provided through the Service (collectively, the “Content”) are owned by us or by our licensors and other rightful owners.

You may not reproduce, distribute, modify, or otherwise use the Content for any purpose without prior authorization.

 

6. Prohibited Conduct

When using the Service, you agree not to engage in any of the following activities:

Violating any applicable laws or regulations, or public order and morals
Engaging in or facilitating criminal activity
Infringing any copyrights, trademarks, or other intellectual property rights related to the Service
Disrupting or interfering with the functionality of our servers or networks
Using information obtained through the Service for commercial purposes without authorization
Interfering with the operation of the Service
Gaining or attempting to gain unauthorized access to our systems
Collecting or storing personal information of other users
Impersonating another user
Providing benefits, directly or indirectly, to anti-social forces in connection with the Service

 

7. Suspension or Interruption of the Service

We shall not be liable for any damages incurred by you as a result of actions taken under this Article.

 

9. Account Deletion

You may delete your account and withdraw from the Service at any time by following our prescribed procedures.

 

10. Disclaimer of Warranties and Limitation of Liability

We make no warranties, whether express or implied, that the Service is free from defects, whether factual or legal, including but not limited to defects relating to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, or security, as well as errors, bugs, or infringement of rights.

We shall not be liable for any damages arising from your use of the Service.
However, if any agreement between you and us in connection with the Service (including these Terms) is deemed a consumer contract under applicable consumer protection laws, this disclaimer shall not apply.

Even in such cases, we shall not be liable for any damages arising from special circumstances, including cases where we or you foresaw or could have foreseen such damages, resulting from our negligence (excluding gross negligence) or breach of contract or tort.

We shall not be responsible for any transactions, communications, or disputes that arise between you and other users or third parties in connection with the Service.

To the fullest extent permitted by law, we shall not be liable for any damages arising from such changes or discontinuation.

15. Non-Assignment

You may not assign, transfer, or pledge as security your contractual position under the Service or any rights or obligations under these Terms to any third party without our prior written consent.

 

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Japan.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to the Service.

In the event of any dispute arising in connection with the Service, the court having jurisdiction over our principal place of business shall have exclusive jurisdiction.
